NELLEN advised the controlling shareholders of market research group BDI Research Limited and its associated consulting arm BEM Limited, on the sale of their shares for approximately £7m to NOP Research Group Limited. NELLEN had previously advised on a restructuring of these two companies which involved the management teams acquiring significant equity stakes.

The AIM quoted HR software company was represented by NELLEN in September 2002 in connection with an investment by Herald GP Ventures Limited of £1m 3.5% of Unsecured Loan Stock 2005/7 and the issue of share warrants. In September 2003, NELLEN also represented OneClick HR in relation to a further investment by Herald and investment funds established by Top Technology and Nordea of £625k 3.5% of Unsecured Loan Stock 2006/8 and a further issue of share warrants. NELLEN drafted the Circular to shareholders and the ancillary documentation.

The management buy-out of this operator of high quality business centres was financed by Henderson Private Capital. NELLEN advised the management team on the terms of the buy-out, the structure of its investment and the negotiation of the documentation.

NELLEN advised World Golf Systems Plc on its first and second round private placings when it raised a total of £4.5m from business angel investors. World Golf Systems Plc has developed the technology which tracks golf balls as they are hit at golf ranges allowing players to score when their balls land on targets.

REL Consultancy Group Limited
NELLEN advised REL Consultancy Group Limited, an international management consultancy group, on the establishment and funding of an Employee Benefit Trust (EBT) which was established to acquire a significant shareholding in REL from its venture capital investors. The REL shares have been made available to employees through a variety of share schemes and via an Employee Share Acquisition Plan (ESAP). NELLEN advised on the overall strategy, the new share structure and on the EBT funding agreements. It also advised on the related corporate issues involving the EBT including the offer letter to shareholders.
